Terms of service

These Terms of Service govern the trading relationship between Gnashers ("the Company") and the customer ("the purchaser").
By placing an order with us, you agree to comply with and be bound by these Terms. Please read them carefully before proceeding with your purchase.

1. Prices and Payment

1.1 Price Alterations:
- Prices are subject to change without prior notice. Goods and services will be charged based on the price list in effect at the time of dispatch.
- The prices quoted are inclusive of VAT, which will be charged at the prevailing rate at the time of purchase.

1.2 Payment Terms:
- Payment for goods and services on credit is due within 30 days from the date of the invoice.
- Late payment fees may apply to accounts that remain unpaid 30 days after the due date.
- New customers are required to make a pre-payment on their first order.
- All orders placed online must be paid for at the time of ordering.

1.3 Carriage, Packaging, and Insurance Charges:
- Carriage, packaging, and insurance charges may be invoiced separately.

2. Delivery and Risk

2.1 Delivery Responsibility:
- The purchaser is responsible for ensuring that a person authorised to receive and sign for the goods is present at the nominated delivery premises.
- The risk in the goods passes to the purchaser upon delivery to the nominated premises, unless the purchaser notifies the Company within two days of any loss, damage, shortage, or error related to the received goods. Such notification must be made using the prescribed form included with all deliveries.

3. Default and Termination

3.1 Default Events:
The purchaser shall be considered in default if:
- Any sum owed to the Company remains unpaid when due.
- Distress or execution is levied on any of the purchaser's goods or property.
- The purchaser enters into an arrangement or composition with creditors.
- The purchaser commits any act of bankruptcy or has a petition presented against them.
- A resolution or petition to wind up the purchaser (other than for reconstruction or amalgamation without insolvency) is passed or presented.
- A receiver is appointed over all or any part of the purchaser's business.

3.2 Consequences of Default:
In the event of default, all sums owed by the purchaser become immediately due and payable, and the Company may:
- Withhold further deliveries of goods.
- Terminate any existing contracts between the Company and the purchaser.
- Termination shall not release the purchaser from any liability for work already carried out or goods already delivered.

4. Limitations of Liability and Guarantees

4.1 Conditions and Warranties:- Goods are supplied with all conditions and warranties implied by statute, except as stated in this clause.- The Company shall not be liable for any consequential damages, expenses, or liability to third parties incurred by the purchaser.- The Company shall have no liability to the purchaser for goods sold as "imperfect" or under any similar description, except as provided by Section 12 of the Sale of Goods Act 1983 (as amended).

4.2 Guarantee and Usage:- The guarantee on goods is valid only if they are used and serviced in accordance with the manufacturer's instructions.

Mobile Terms of Service

The Gnashers mobile message service (the "Service") is operated by Gnashers (“Gnashers”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Gnashers’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Gnashers through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Gnashers. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to Gnashers or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Gnashers mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
